Terms of Service

IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR ACCEPTING AN INVITATION YOU AGREE TO BE BOUND BY THESE TERMS.

1. Introduction and Acceptance of Terms

These Terms constitute a legally binding agreement between you and Concordant Networks governing your access to and use of the Concordant Networks platform. Concordant is a private, invitation-only professional referral exchange network for B2B mid-market sales professionals. By accessing the platform you agree to these Terms and our Privacy Policy.

2. Eligibility and Membership

2.1 You must be 18+, a B2B sales or complementary professional, have received a valid invitation, provide accurate information, and not have been previously removed from the platform.

2.2 The platform is strictly invitation-only. Concordant may accept or reject any application at its sole discretion without explanation.

2.3 You are solely responsible for your account credentials and all activity under your account.

2.4 One account per person. Multiple accounts will result in immediate termination.

3. The Platform and Services

3.1 Concordant is a technology platform only. We are not a broker, agent, guarantor of referral quality, financial advisor, or party to any transaction formed through the platform.

3.2 The Referral Score is algorithmic and informational only. Concordant may modify the algorithm at any time.

3.3 Matches are algorithmic suggestions only and do not constitute endorsements.

3.4 Concordant does not guarantee uninterrupted platform access and may modify or discontinue any feature at any time.

4. Member Conduct and Obligations

4.1 By submitting a referral you represent it is accurate, based on a genuine relationship, matches the recipient's ICP to your knowledge, and is submitted in good faith. False referrals constitute material breach.

4.2 You agree not to:

  • submit false referrals
  • manipulate your Referral Score
  • create fake accounts
  • harass members
  • share member information without consent
  • use the platform unlawfully
  • reverse engineer the platform
  • use bots or scripts
  • impersonate others
  • use platform information to build a competing service

4.3 You agree to:

  • respond to matches within designated windows
  • submit referrals within required timeframes
  • report outcomes honestly
  • treat members professionally
  • report suspected misconduct

4.4 Outcome reporting is self-reported and not verified by Concordant. Deliberately false reporting constitutes fraud.

5. Intellectual Property

5.1 The platform and all associated IP is owned exclusively by Concordant Networks.

5.2 The Referral Score algorithm constitutes proprietary trade secrets. You agree not to reverse engineer or disclose algorithmic details.

5.3 By submitting content you grant Concordant a non-exclusive worldwide royalty-free license to use it solely for operating the platform.

5.4 Any feedback you provide becomes the sole property of Concordant.

6. Privacy and Data

6.1 Your use is subject to our Privacy Policy incorporated herein by reference.

6.2 Concordant collects and processes professional data to operate the matching algorithm and improve the platform. We do not sell your personal data.

6.3 Concordant may use aggregated anonymized data for research and business purposes.

6.4 Upon termination Concordant may retain your data for up to 24 months for legal compliance and fraud prevention.

7. Disclaimers and No Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. CONCORDANT EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CONCORDANT MAKES NO WARRANTIES REGARDING REFERRAL QUALITY, ACCURACY OF MEMBER INFORMATION, OR THAT ANY REFERRAL WILL RESULT IN A MEETING OR CLOSED DEAL. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

8. Limitation of Liability

8.1 TO THE FULLEST EXTENT PERMITTED BY LAW, CONCORDANT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, OR DAMAGES ARISING FROM ANY REFERRAL OR BUSINESS RELATIONSHIP FORMED THROUGH THE PLATFORM.

8.2 CONCORDANT'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) TOTAL FEES PAID IN THE PRECEDING 12 MONTHS, OR (B) $100.00.

8.3 THESE LIMITATIONS APPLY REGARDLESS OF THEORY OF LIABILITY AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT.

9. Indemnification

You agree to indemnify and hold harmless Concordant Networks and its officers, directors, employees, and agents from all claims, damages, and expenses (including attorneys' fees) arising from:

  • your use of the platform
  • your violation of these Terms
  • any referral you submit
  • any business relationship arising from the platform
  • your violation of any third party's rights
  • your violation of any applicable law

10. Membership Tiers and Payment

10.1 Concordant offers founding member tiers (free) and paid tiers (Member, Professional, Elite, Corporate). Concordant may modify tier benefits with reasonable notice.

10.2 Charter Founders (first 25 members) receive free lifetime access. Founding Members (26-50) receive 12 months free. Early Members (51-100) receive 6 months free. These benefits are personal and non-transferable.

10.3 Paid fees are non-refundable except as required by law. Concordant may modify pricing with 30 days notice.

10.4 You are responsible for all applicable taxes.

11. Termination and Suspension

11.1 Concordant may suspend or terminate your account at any time with or without cause including for Terms violations, false referrals, harmful conduct, non-payment, or inactivity.

11.2 You may terminate your account at any time by contacting Concordant. No refunds on termination.

11.3 Upon termination all rights granted to you cease immediately. Sections 5, 7, 8, 9, 12, and 13 survive termination.

12. Dispute Resolution

12.1 Contact legal@concordantnetworks.com before initiating formal proceedings. Concordant will attempt resolution within 30 days.

12.2 Unresolved disputes shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules in Orange County, California.

12.3 CLASS ACTION WAIVER: YOU AND CONCORDANT AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY. NO CLASS OR REPRESENTATIVE PROCEEDINGS.

12.4 Governed by California law without regard to conflict of law principles.

12.5 All claims must be brought within one (1) year of the date the claim arose.

13. General Provisions

13.1 These Terms constitute the entire agreement between you and Concordant.

13.2 If any provision is unenforceable the remaining provisions continue in full effect.

13.3 Failure to enforce any provision is not a waiver.

13.4 You may not assign your rights without Concordant's written consent.

13.5 Concordant is not liable for delays caused by circumstances beyond its reasonable control.

13.6 Concordant may modify these Terms with 30 days notice. Continued use constitutes acceptance.

13.7 You consent to receive electronic communications from Concordant.
